Agreement Between You and www.sapgrp.com

These General Terms and Conditions are an agreement (“Agreement”) between you (“User”, “you”, “your”, “Buyer”) and the Site about your use of the information, software, products, and services contained in or available through the Site. This Agreement governs any use of the Site as a guest or as a fee-paying member.

Please read these General Terms and Conditions carefully before you start to use the website. By using the Site, you are deemed to accept the validity of and are bound by this Agreement as well as our Privacy Policy. If you are using our Site as an agent or employee of an organisation, you agree to these Terms and Conditions and our Privacy Policy on behalf of your organisation. User’s use of the Site, any Materials, and any information provided by the user including usernames and passwords, addresses, email addresses, phone number, financial information (such as credit card numbers), information related to an SAP employee name transmitted in connection with the Site is limited to the contemplated functionality of the Site. In no event may the Site be used in a manner that (a) harasses, abuses, stalks, threatens, defames, or otherwise infringes or violates the rights of any other party (including but not limited to rights of publicity or other proprietary rights); (b) is unlawful, fraudulent, or deceptive; (c) provides sensitive personal information unless specifically requested by SAP; (d) includes spam or any unsolicited advertising; (e) uses technology or other means to access SAP or Materials that is not authorised by SAP; (f) uses or launches any automated system, including without limitation, “robots”, “spiders”, or “offline readers” to access SAP or Materials; (g) attempts to introduce viruses or any other computer code, files, or programs that interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment; (h) attempts to gain unauthorised access to SAP’s computer network or user accounts; (i) encourages conduct that would constitute a criminal offence or that gives rise to civil liability; (j) violates these Terms and Conditions; (k) attempts to damage, disable, overburden, or impair SAP’s servers or networks; (l) impersonates any person or entity or otherwise misrepresents your identity or affiliation with another person or entity; or (m) fails to comply with applicable third party terms and conditions. SAP reserves the right, in its sole discretion, to terminate any User License, terminate any User’s participation in the Site, remove Materials, or assert legal action with respect to Materials or use of the Site, that SAP reasonably believes is or might be in violation of these Terms and Conditions, or SAP policies. SAP’s failure or delay in taking such actions does not constitute a waiver of its rights to enforce these Terms and Conditions.

All specifications, products, descriptions and prices of products on the Site are subject to change at any time without notice. However, the actual colour you see will depend on your computer system, and we cannot guarantee that your computer will accurately display such colours. The inclusion of any products or services on the Site at a particular time does not imply or warrant that these products or services will be available at any time. We reserve the right to discontinue any product at any time.

Registration

Only visitors to the Site who are registered and agree to these Terms and Conditions (“users”, “Buyers”, “you”, “your” as the context requires) may participate in buying on the Site using the Service.

To register on the Site you must be over eighteen years of age. If you are under 18, you may use the Site only with the involvement of a parent or a guardian.

You must ensure that the details provided by you on registration or at any time are correct and complete. You must inform us immediately of any changes to the information that you provided when registering by updating your personal details in order that we can communicate with you effectively.

SAP’s right to suspend or cancel your registration

We may suspend or cancel your account immediately at our reasonable discretion or if you are in breach of any of your obligations under these Terms and Conditions.

You can cancel your registration at any time by informing us in writing at info.sg@sapgrp.com. If you choose to do so, you must stop using the Site.

The suspension or cancellation of your registration and your right to use the Site shall not affect either party’s statutory rights or liabilities.

Password and Security

When you register to use the Site you will be asked to create a password or will be provided with a password. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and to the extent permitted by applicable law you agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be used in an unauthorised manner. You are responsible for ensuring that the details you provide us with are correct and complete, and for informing us of any changes to the information you have provided.

If the Company has reasons to believe that there is likely to be a breach of security or misuse of the Site, we may require you to change your password or we may suspend your account.

Consent to Receive Emails

You consent to receive informational, administrative and promotional material at the email address you have provided upon subscription and/or registration. If at any point you would like to unsubscribe to these emails, you may do so using the link provided at the end of each e-mailer.

Terms of Sale

By placing an order with us, you are (i) offering to purchase a product, (ii) representing that you are of legal age to form a binding contract, and (iii) representing that all information you provide to us in connection with such order is true and accurate and you are an authorised user of the payment method provided. The receipt by you of an order confirmation does not constitute our acceptance of an order. We retain the right to refuse any order request made by you.

Prior to our acceptance of an order, verification of information may be required. We reserve the right at any time after receipt of your order to accept, modify or decline your order, or any portion thereof, even after your receipt of an order confirmation from us, for any reason whatsoever. We reserve the right to limit the number of items ordered and to refuse service to you without prior notification. In the event that an item lists an incorrect price, either due to typographical or other error, we shall have the right to refuse or cancel any such order placed for the incorrect price, regardless of whether the order is being or has been processed. If payment has already been made or if your account has already been charged for the purchase and the order is cancelled , we will credit your account in the amount of the incorrect price.

Conditions for Buyers

You will have to be registered as a buyer on the Site before you are allowed to buy items and/or make payments on the Site.

Upon registering your account, you agree to pay the Company’s transaction fees (“Transaction Fees”) for completed sales transactions. These Transaction Fees may vary in the future.

Buyers must carefully read the items detail page and review information such as price, delivery charges, etc. , Frequently Asked Questions and Terms and Conditions for sales before purchasing an item. By making a payment for a purchase, you are deemed to have understood and agreed to all information about the items you are purchasing. Under this condition, the Company will not assume any responsibility for mis-information.

We take no responsibility and assume no liability for any loss or damages to a Buyer arising from shipping information and/or payer information entered by the Buyer, wrong remittance by the Buyer in connection with the payment for the items purchased or delays or technical faults in the payment process. We reserve the right to check whether a Buyer is duly authorised to use certain payment method, and may suspend the transaction until such authorisation is confirmed or cancel the relevant transaction where such confirmation is not available.

SAP reserves the right to change our shipping arrangement in unforeseen circumstances, such as but not limiting to, surge in volume of orders or to maintain service standard.

Sale and Payment

Under the Service, items are offered by SAP for sale at a fixed price (“Fixed Price Sale”). This price is inclusive of GST.

For items listed for sale, the Company may charge Buyers delivery charges. Applicable delivery/freight charges will be displayed on the checkout page. Once payment mode has been selected and order has been submitted, changes to the payment mode are not possible and cancellation is not allowed. Please refer to www.sapgrp.com/returns-exchanges for terms of payment and modes of payment.

Once the payment for the items is approved, the Company will confirm each order to the Buyer (“Order Confirmation”).

Delivery

Delivery of physical items will be made to the address specified by you at the time of purchase. We take no responsibility and assume no liability for any loss or damages to a Buyer arising from shipping information for both before or after order has been shipped. Please refer to the Shipping & Delivery Policy for more information on our delivery options and prices.

The Company will not be liable for any loss or damage once the items have left the premises or whilst in possession with third party partners, not limited to, courier companies.

For digital products, a web link will be available via email or any other form of communication as we deem fit to Buyers upon the purchase of a digital item for the download of the digital items. The web link will be available for a number of days or downloads as fixed by SAP and agreed upon after which the link will expire.

Refunds, Returns and Exchange Policy

Buyers must observe the Returns & Exchanges Policy and the terms stated by the Company.

The Company reserves the right to make the decision if any refunds are to be made in event of disputes.

Cancellation and Termination

Your access to the Service may be terminated by written notice if you are in material breach of this agreement and the breach is not remedied after written notice of the breach has been given to you. If we reasonably believe your breach of these Terms & Conditions affects our lawful operation of the Service or third party users we may suspend your access to the Service at any time.

Limitation of Liability

This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay of operation or transmission, computer virus, communication line failure, theft or destruction or unauthorised access to, alteration of , or use of record, whether for breach of contract, tortious behaviour, negligence, or under any other cause of action. The User specifically acknowledges the Service is not liable for the defamatory, offensive or illegal conduct of other customers or third parties and that the risk of injury from the foregoing rests entirely with users.

Neither the service nor any of its agents, affiliates or content providers shall be liable for any direct, indirect, incidental, special or consequential damages arising out of use of the Service or inability to gain access to or use the Service or out of any breach of any warranty. The user hereby agrees that the provisions of this section shall apply to all content on the Service.

Indemnity

You will indemnify and hold us (and our officers, directors, agents, subsidiaries, joint ventures and employees), harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms and Conditions, or your violation of any law or the rights of a third party.

Intellectual Property

The Site and all of its materials, including, but not limited to, its software or HTML code, scripts, text, artwork, photographs, images, video, and audio (collectively, “Materials”) are protected by Intellectual Property Rights and are property of SAP or its licensors. Such Intellectual Property Rights shall include but are not limited to copyrights, trademarks, industrial design rights, patents, database rights, know-how, privileged or similar information, whether registered or not, or registerable by any means, and the right to file an application for registration thereof, as well as all other rights related to the Company or other third parties’ trademarks, products or business activities.

All Materials are provided through the Site as a service to its current and prospective visitors and may be used only for personal and informational purposes and only if you also retain all copyright and other proprietary notices contained on the Materials. No right, title or interest in SAP is conveyed to you. You may retrieve and display the content of the Company Site on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices. You may not otherwise copy, reproduce, publish, transmit, distribute, perform, display, post, modify, create derivative works from, sell, license or otherwise exploit the Site or any of its Materials without our prior written permission; you may not access or use the Site for any competitive or commercial purpose; nor may you permit any copying of our Materials. SAP provides these links to you as a convenience and the inclusion of any link does not imply endorsement by SAP of Other Sites or any association with the operators of such Other Sites. You are responsible for viewing and abiding by the privacy statements and terms of use posted at any third-party sites.

Advertising and Sponsorships

Parts of the Site may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the Company Site complies with relevant laws and codes. SAP will not be responsible to you for any error or inaccuracy in advertising and sponsorship material.

No Agency

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

Applicable Law

These Terms and Conditions will be subject to the laws of Singapore. If a dispute arises between you and the Company, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. We will try to solve any disagreements quickly and efficiently. If you are not happy with the way we deal with any disagreement and you want to take court proceedings, you must do so within Singapore.

International Use

We make no promise that Materials on the Site are appropriate or available for use in locations outside Singapore, and accessing the Site from territories where its contents are illegal or unlawful is prohibited. If you choose to access this Site from locations outside Singapore, you do so on your own initiative and are responsible for compliance with local laws.
We do not sell eBooks(YooBooks) to the following countries: China, Macao.
We do not sell or ship physical books to the following countries: Australia, China, Hong Kong, India, Indonesia, Macao.

Severability

If any of these Terms and Conditions shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions.

Entire Agreement

These Terms and Conditions incorporates by reference all terms, conditions, policies, guidelines and other information on the Site concerning the Site or the Service including but not limited to the Privacy Policy constitutes the entire agreement between parties with respect of the subject matter hereof and supersedes any prior written or oral agreement, claims, representations and understandings of the parties relating to the subject matter thereof.
